1. Acceptance of Terms
By accessing the Noor AI Labs website, submitting project inquiries, or engaging our engineering consulting and software development services, you agree to comply with and be bound by these Terms of Service.
2. Engineering Services & Client IP Ownership
All client-commissioned deliverables, custom software codebases, proprietary models, and database architectures developed under an executed Statement of Work (SOW) are owned exclusively by the client upon receipt of full payment. Noor AI Labs retains ownership of its pre-existing core libraries, foundational toolkits, and generalized algorithmic patterns developed independently of client confidential data.
3. Confidentiality & Non-Disclosure
Both parties agree to protect proprietary source code, proprietary algorithms, trade secrets, business strategies, and technical architectures shared during discovery, scoping, and production delivery. We execute mutual Non-Disclosure Agreements (NDAs) prior to architectural evaluation and codebase audit engagements.
4. Statements of Work & Service Level Agreements
Specific project milestones, sprint cadence, production deliverables, and ongoing SLA maintenance agreements are defined within mutually agreed Statements of Work (SOWs) and Master Service Agreements (MSAs). In the event of any conflict between these general terms and an executed client agreement, the specific client agreement provisions shall take precedence.
5. Governing Law & Jurisdiction
These terms are governed by and construed in accordance with the laws of India. Any disputes arising in connection with these terms shall be subject to the exclusive jurisdiction of the competent courts in Bengaluru, Karnataka, India.
